2. Services

Propel AI provides the following services:

• AI Lead Response Chatbot development and deployment
• CRM automation setup and management
• Appointment booking system configuration
• Customer reactivation campaign management
• Marketing automation consulting and implementation
• Ongoing monthly management and optimization

3. Payment Terms

Our standard pricing structure includes:

• A one-time setup fee due before project commencement
• Monthly retainer fees billed on the 1st of each month
• All payments processed securely via Stripe
• Invoices are due within 7 days of receipt
• Late payments may incur a 1.5% monthly fee

All fees are in US Dollars. Setup fees are non-refundable once work has commenced.

4. Cancellation Policy

Either party may terminate monthly services with 30 days written notice. Upon cancellation:

• All work completed up to the cancellation date will be delivered
• Monthly retainer fees already paid are non-refundable
• Setup fees are non-refundable
• Client retains ownership of all custom-built assets delivered

5. Client Responsibilities

To ensure successful delivery of services, clients agree to:

• Provide timely access to required platforms and accounts
• Respond to requests for information within 48 hours
• Ensure all contacts receiving SMS messages have provided explicit consent
• Comply with all applicable laws and regulations including TCPA and CAN-SPAM
• Not use our services for unlawful, harmful, or deceptive purposes

6. SMS Communications Compliance

Clients using our SMS automation services agree to:

• Only send messages to contacts who have explicitly opted in
• Include STOP/HELP instructions in all automated messages
• Honor all opt-out requests immediately
• Comply with the Telephone Consumer Protection Act (TCPA)
• Comply with A2P 10DLC carrier requirements
• Not send spam, misleading, or prohibited content

7. Intellectual Property

Upon full payment of all fees:

• Clients own all custom-built automations and content created for their business
• Propel AI retains ownership of proprietary methodologies, frameworks, and templates
• Neither party may use the other's branding without written consent

8. Confidentiality

Both parties agree to keep confidential all proprietary information shared during the engagement including business strategies, client lists, pricing, and technical systems. This obligation survives termination of services.

9. Results Disclaimer

While Propel AI strives to deliver measurable results, we cannot guarantee specific outcomes such as number of leads, revenue generated, or appointment bookings. Results vary based on industry, market conditions, offer quality, and other factors outside our control.

10. Limitation of Liability

Propel AI's total liability for any claims arising from our services shall not exceed the total fees paid by the client in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

11. Indemnification

Clients agree to indemnify and hold harmless Propel AI from any claims, damages, or expenses arising from misuse of our services, violation of these terms, or violation of any third party rights.

12. Governing Law

These Terms of Service are governed by the laws of the State of Texas, United States. Any disputes shall be resolved in the courts of Tarrant County, Texas.

13. Changes to Terms

We reserve the right to update these Terms of Service at any time. Continued use of our services after changes constitutes acceptance of the updated terms. We will notify active clients of material changes via email.
